Past Legal Experience
Dot Hill Systems Corp. — New York, NY — 1998-2001
Responsible for all legal affairs of this $200 million revenue, NYSE and then NASDAQ-listed manufacturer of data storage systems. Served as Secretary. Managed all legal aspects of pooling-of-interests merger including the preparation of an S-4 filing, which was approved by the SEC after initial review. Negotiated agreements for all major corporate transactions and helped select investment banking teams. Oversaw discovery, motions and successful settlement of class action litigation related to the Company’s IPO. Directed the Company’s re-incorporation in Delaware including revised by-laws, stock option plans and articles of incorporation.
Philadelphia District Attorney’s Office — 1993-1998
Served in prosecution units from 1993-1995 and as in-house counsel to Office from 1995-1998. Conducted jury and bench trials, and argued evidentiary motions. Specially assigned to cases involving juvenile witnesses and RICO charges. Accomplishments include: perfect record defending Office and personnel against civil rights and employment discrimination claims, and; successful argument before Third Circuit in appeal of Rule 11 sanctions award.
